The ultimate success of the organization and its programs depends, to a large degree, on the sound judgment and unbiased attitude of the few, who comprise its board of trustees. It is a privilege, not a right to serve on the Board of Trustees or in any capacity, any committee.1. Attendance: A member shall attend and fully participate in called meetings of the Board of Trustees to exercise the individual responsibility granted to them by the Board of Trustees.2. Conflict of Interest: A member will void a business or personal situation having a potential for conflict or appearance of conflict with their responsibilities to the organization or which could tend to compromise their primary duty to further the purposes and policies of US Arabian Horse Registry. As a member of the Board, I recognize that I owe a fiduciary duty of loyalty to US Arabian Horse Registry. This duty requires me to avoid conflicts of interest and to act at all times in the best interests of US Arabian Horse Registry. The purpose of the conflicts of interest policy (set forth below) is to help inform the Board about what constitutes a conflict of interest, assist the Board in identifying and disclosing actual and potential conflicts, and help ensure the avoidance of conflicts of interest where necessary.I have read the conflicts of interest policy set forth above and agree to comply fully with its terms and conditions at all times during my service as a US Arabian Horse Registry Trustee Board member. However, full disclosure of all actual and potential conflicts, and a determination by the disinterested Board (or members – with the interested Board member(s) recused from participating in debates and voting on the matter) – are required.All actual and potential conflicts of interests shall be disclosed by Board members to the USAHR through the annual disclosure form and/or to the Board whenever a conflict arises. The Board shall retain the right to modify or reverse such determination and action, and shall retain the ultimate enforcement authority with respect to the interpretation and application of this policy.On an annual basis, all Board members shall be provided with a copy of this policy and required to complete and sign the acknowledgment and disclosure form below. All completed forms shall be provided to and reviewed as well as all other conflict information, if any, provided by Board members.3. Self-Interest: A member shall refrain from the use of this organization, its personnel or property to further their own purposes or business gain, and will avoid situations or receipts of benefits which hint of favoritism.4. Confidentiality: A member will not divulge to any third party information regarding confidential US Arabian Horse Registry registration, membership information, executive session discussions, personnel matters and similar matters of sensitivity to any organization operations. Copies of minutes of meetings of the Board of Trustees and its committees may be circulated to other persons unless they contain any such confidential information, in which case such minutes must remain confidential. As a member of the Board of Trustees, I recognize that I owe a fiduciary duty of care to the US Arabian Horse Registry. All information and documentation that I receive from US Arabian Horse Registry and others in connection with my service on the Board will be treated with strict confidentiality. I will direct any questions regarding my confidentiality obligations to the President of the Board of Trustees. 5. Opposing Points of View: A member will endeavor to foster harmonious relationships with other members by frank and good-faith discussion in meetings, and at all times be open minded, recognizing expression of an opposing viewpoint is often healthy to ultimate decision making.6. Pending Litigation: To coordinate the organization's approach to the case, a member will avoid individual discussion with a litigant or third parties concerning any litigation pending against US Arabian Horse Registry, but shall refer all inquiry to the Board of Trustees or to the organization's attorney.7.
